1.1 Indawo waives the once-off tier setup fee (tier base fee plus per-room fee, at the room count on the Order Form) for the first 50 eligible properties that sign up for an Indawo AI paid plan between 00:00 on 1 November 2026 and 23:59 on 31 December 2026 (South African Standard Time) (the “Offer Period”).
1.2 The setup work is the same as for a paying client: rooms, rates, seasons and policies; the booking widget on the property’s existing website; Booking.com and Agoda mapping (where the property authorises the connection); WhatsApp number onboarding; standard migration of future bookings and the guest list from one export; the remote training sessions on the plan; and 2 weeks of go-live support.
2.1 The offer is open to accommodation establishments (B&Bs, guesthouses, lodges, small hotels and similar) located in South Africa that: (a) are not, and have not been in the 12 months before signing, an Indawo AI client; (b) sign the Order Form (or complete the online sign-up and acceptance) during the Offer Period; and (c) pass Indawo’s standard sign-up verification (business details, authority to sign and, if chosen, the debit-order mandate).
2.2 Excluded: properties owned or managed by Indawo’s group or related parties (they contract on separate terms); properties that have signed a “Founding 10” agreement or another agreement that already includes a setup waiver; and Indawo employees.
2.3 One waiver per property. A “property” is one establishment at one physical address with its own listing on the booking channels. In a group, each property qualifies separately and counts as one of the 50. Re-registering the same property under a new entity or name does not create a new entitlement.
3.1 Places go in the order of the date and time (SAST) at which Indawo receives the property’s signed subscription – meaning a signed Order Form, or an online sign-up with the acceptance recorded and all required fields completed – as logged by Indawo’s system. Incomplete or saved-for-later sign-ups do not hold a place.
3.2 A place is confirmed only after verification (clause 2.1(c)). If verification fails or is not completed within 10 Business Days of a request for information, the place passes to the next property in time order.
3.3 Indawo will publish a running count of remaining places on the website at least weekly, and will close the offer when the 50th place is confirmed. Sign-ups after that receive a written notice that the offer is closed and may continue at the standard setup fee or cancel without charge.
3.4 Indawo’s timestamp log is final in the absence of manifest error. A property may ask for confirmation of its position.
4.1 Minimum Term: 3 months. If you receive the waiver, your Minimum Term is 3 months, starting on your go-live date (the day Indawo confirms in writing that your setup is complete and the Services are live).
4.2 If it ends early, part of the waived fee becomes payable. If, before the 3 months are up, you cancel or Indawo ends the agreement because of your breach, you must pay back part of the waived setup fee, worked out pro rata: [setup fee] × (complete months of the 3 not yet served ÷ 3). The [setup fee] is the tier setup fee shown as waived on your Order Form. Example: a R9,200 waived fee, cancelled after 1 complete month = R9,200 × 2/3 = R6,133.33. No other cancellation charge is added for the waiver.
4.3 When nothing is payable. No clawback applies if the agreement ends because of Indawo’s breach or insolvency, Indawo’s termination for convenience, or a cancellation the law or the Subscription Agreement allows without penalty (for example after a price or terms change you do not accept, the loss of a material feature, or the ECTA 7-day cooling-off). Where CPA s14 applies, you may cancel on 20 Business Days’ notice and the clawback in clause 4.2 is the reasonable cancellation charge.
4.4 After 3 months: month to month. After the Minimum Term the subscription continues month to month. Either party may end it on one calendar month’s written notice, with no clawback.
5.1 Waived: only the tier setup fee at the room count on the Order Form. 5.2 Not waived (charged as normal): the monthly or annual subscription; add-ons; WhatsApp usage above the included allowance and marketing templates; optional once-offs (full history migration, collections opening-book clean-up, new website, moving a website, extra channel mapping, on-site training, ad-hoc work); per-room setup fees for rooms added after signing. 5.3 Upgrades: upgrading to a higher tier within 12 months of go-live does not attract an extra setup fee. Downgrades do not create a refund. 5.4 Not combinable. The waiver cannot be combined with any other offer, promotion or discount, including the Founding 10 offer, a second-property discount or the annual prepay discount.
6.1 The client must book its go-live within 60 days of signing and supply the information and approvals needed. If go-live is delayed by the client beyond 60 days, the waiver lapses and the setup fee becomes payable, unless the delay is caused by Indawo or a Third-Party Service. 6.2 Indawo may schedule onboarding in slots (up to 4 go-lives per month). A property that signed during the Offer Period keeps its waiver even if Indawo schedules its go-live after 31 December 2026.
The waiver is not transferable: it belongs to the property that signed and cannot be passed to another property, person or entity. It has no cash value and cannot be exchanged for cash, credit or any other discount.
8.1 Indawo may extend the Offer Period or increase the number of places by notice on the website. 8.2 Indawo may end the offer early (before 31 December 2026 or before 50 places are filled), by notice on the website. Ending the offer early affects only sign-ups that Indawo has not yet accepted when the notice is published. Every sign-up already accepted keeps its waiver on these terms. 8.3 Indawo may refuse or reverse a waiver obtained by misrepresentation or abuse (for example splitting one property into several sign-ups).
These terms form part of the Subscription Agreement. If they conflict on the offer, these terms prevail. Prices are in South African Rand as shown on the price list and the Order Form.
